Client Buy Back Scheme

Between:

Asset Lifecycle Solutions Limited (“ALS”, “we”, “us”, or “our”), a company incorporated and registered in England and Wales, whose registered office is at

3 Christleton Court, Manor Park, Runcorn, WA7 1ST

and

the individual employee participating in the Buy Back Scheme (“Participant”, “you”, or “your”), being a current employee of an organisation (“Employer”) that has authorised participation in the Scheme and has been issued a valid Claim Code.

1. Introduction and Purpose

1.1 These Terms and Conditions (“Terms”) set out the basis upon which ALS operates the Buy Back Scheme (“Scheme”) for eligible employees of the Employer.

1.2 Under the Scheme, ALS makes available certain pre-owned or refurbished devices (“Devices”) for purchase by Participants.

1.3 Participation in the Scheme constitutes an agreement between ALS and the Participant, and is subject to the Terms set out herein.

1.4 The Scheme is designed to allow authorised employees to purchase decommissioned or redundant devices originally owned by the Employer, subject to these Terms.

2. Eligibility

2.1. Participation in the Scheme is open only to current employees of the Employer who have received a valid Claim Code from the Employer.

2.2. Claim Codes are issued solely by the Employer and not by ALS. ALS shall not be responsible for the distribution, management, or verification of such codes.

2.3. ALS reserves the right to verify the identity and eligibility of any Participant prior to processing a claim.

3. Claim Codes and Redemption

3.1. Each Claim Code is unique, non-transferable, and may be used once only.

3.2. Participants must enter their Claim Code into the ALS Buy Back Portal to select and claim a Device.

3.3. Expired, lost, or misused Claim Codes cannot be replaced or reissued by ALS.

3.4. ALS shall not be responsible for any errors or delays arising from the Participant’s failure to correctly enter or redeem a Claim Code.

4. Device Description and Condition

4.1. Devices offered under the Scheme are pre-owned or refurbished assets that have been tested, sanitised, and prepared for resale by ALS.

4.2. Device specifications, cosmetic appearance, and accessory inclusion may vary.

4.3. All Devices are supplied in good working condition at the time of dispatch and are subject to availability.

4.4. ALS makes no representation or warranty as to the suitability of any Device for a specific purpose or requirement.

5. Shipping, Risk, and Ownership

5.1. Devices will be shipped to the delivery address provided by the Participant during the claim process via an ALS-nominated courier or logistics partner.

5.2. Ownership and risk in the Device shall pass to the Participant upon dispatch of the Device from ALS’s facility.

5.3. Once dispatched, ALS accepts no responsibility for loss, damage, theft, or non-receipt of the Device, except as set out in Clause 6 below.

6. Damage in Transit

6.1. If a Device is damaged during transit, ALS shall, upon receipt of sufficient evidence (including photographic proof of packaging and damage) within 48 hours of delivery, provide a like-for-like replacement Device.

6.2. Failure to notify ALS of transit damage within 48 hours shall be deemed acceptance of the Device in satisfactory condition.

6.3. No replacement or refund will be provided for damage reported after this timeframe or for any damage occurring after delivery.

7. Returns, Refunds, and Warranty

7.1. Devices sold under this Scheme are non-returnable and non-refundable, except as expressly provided for in Clause 6.

7.2. Devices are supplied “as seen” and are not covered by any manufacturer’s or ALS warranty.

7.3. ALS provides no ongoing support, service, or repair obligation once a Device has been dispatched.

8. Limitation of Liability

8.1. To the fullest extent permitted by law, ALS shall not be liable for any indirect, incidental, or consequential loss, damage, or expense (including but not limited to loss of data, income, or business opportunity) arising from participation in the Scheme or use of any Device supplied.

8.2. ALS’s total liability in respect of any claim under these Terms shall not exceed the purchase price paid by the Participant for the Device in question.

8.3. Nothing in these Terms shall exclude or limit ALS’s liability for death or personal injury caused by its negligence, fraud, or any other liability which cannot lawfully be excluded or limited.

9. Data Protection

9.1. ALS will process personal information provided by Participants only to the extent necessary to administer the Scheme, fulfil orders, and comply with legal obligations.

9.2. ALS acts as an independent Data Controller for all personal data processed in connection with the Scheme.

9.3. All data is handled in accordance with the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018, and the ALS Privacy Policy available upon request.

9.4. The Client remains responsible for ensuring that any data shared with ALS (including staff contact details for claim verification) is lawfully collected and transferred.

10. Termination or Amendment of the Scheme

10.1. ALS reserves the right to modify, suspend, or terminate the Scheme at any time, with or without prior notice to the Client or Participants.

10.2. Any amendments to these Terms will be effective immediately upon written notice to the Client or publication on the ALS Buy Back Portal.

11. Governing Law and Jurisdiction

11.1. These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales.

11.2. The Parties irrevocably submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising under or in connection with these Terms.
